These Terms & Conditions (“Terms”) govern your access to and use of the GEVADE CRM platform, websites, applications, AI systems, integrations and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy available at: www.gevade.com/privacy.

If you do not agree to these Terms, do not access or use the Service.


1. About GEVADE CRM

GEVADE CRM is an AI-powered customer relationship management, marketing automation, operations and business growth platform designed for home services businesses and service-based industries globally.

Any reference to “GEVADE”, “GEVADE CRM”, “we”, “us”, or “our” refers to the above entity.

2. Acceptance of Terms

By using GEVADE CRM, you acknowledge and agree that:

  • You have read and understood these Terms;
  • You are at least 18 years old;
  • You are legally able to enter into binding contracts;
  • You will comply with all applicable laws including the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth) and Australian Consumer Law;
  • If you create an account on behalf of a business, you have authority to bind that business to these Terms.

3. Changes to Terms

GEVADE may modify these Terms from time to time to reflect:

  • platform updates;
  • new features or products;
  • changes in laws or regulatory requirements;
  • security improvements;
  • business growth or corporate restructuring.

The updated Terms will be posted at www.gevade.com/terms with a “Last Updated” date. Continued use of the Service constitutes acceptance of the updated Terms.

4. Account Registration & Security

You must:

  • provide truthful, accurate and complete information when creating an account;
  • maintain the security of your login credentials;
  • not share your password with any unauthorised person;
  • immediately notify GEVADE of any suspicious activity or unauthorised access.

You are fully responsible for all actions taken under your account.

5. Access Rights & Licence

GEVADE grants you a limited, revocable, non-transferable, non-exclusive licence to access and use the Service for your internal business operations, subject to these Terms.

You may not:

  • copy, resell, or sublicense the Service;
  • reverse-engineer or attempt to extract the source code;
  • circumvent security features or access controls;
  • use the Service for unlawful or fraudulent activity;
  • misuse or overburden the platform or network resources.

6. Subscription Plans & Pricing

GEVADE CRM offers subscription plans including Starter, Growth and Empire tiers, each with monthly and yearly billing options.

  • Starter: US$97/mo or US$970/yr
  • Growth: US$197/mo or US$1970/yr
  • Empire: US$297/mo or US$2970/yr

Features vary depending on your plan. Upgrades and downgrades are available through the platform.

7. Billing, Payments & Auto-Renewal

By subscribing to GEVADE CRM, you authorise recurring charges to your payment method on a monthly or yearly basis depending on your plan.

  • Subscriptions auto-renew until cancelled;
  • Invoices are issued electronically;
  • You agree to keep your billing information up to date;
  • Missed payments may lead to account suspension;
  • Yearly plans renew automatically at the end of each term.

GEVADE uses secure PCI-DSS compliant payment processors. We do not store full card details.

8. No Refund Policy

All payments to GEVADE CRM (monthly or yearly) are non-refundable except in cases of genuine billing error proven by evidence.

This includes:

  • unused time;
  • partial months;
  • downgrades;
  • failure to use the platform;
  • accidental purchases;
  • non-use of included credits.

Trials end automatically and convert to paid unless cancelled beforehand.

9. Free Trials

GEVADE CRM may offer a 14-day free trial. Trial features may vary by plan.

At the end of the trial, your subscription automatically converts to a paid plan unless you cancel prior to expiry.

10. Usage-Based Fees & Add-Ons

Some features require pay-as-you-go usage or additional fees, including:

  • SMS messages;
  • email sending credits;
  • AI and automation credits;
  • WhatsApp add-ons;
  • workflow packs;
  • hosting and branded app fees.

All usage-based fees are billed monthly in addition to your plan subscription.

11. Account Upgrades, Downgrades & Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; prorated charges may apply.

Downgrades apply at the start of the next billing cycle. Some features may become unavailable after downgrade.

12. Acceptable Use Policy (AUP)

You agree NOT to use GEVADE CRM for:

  • sending unlawful, harmful or misleading communications;
  • sending unsolicited commercial messages (spam);
  • fraudulent or deceptive activities;
  • harassment, abuse or illegal content;
  • collecting data without valid consent;
  • uploading viruses, malware or harmful code;
  • scraping or reproducing platform data;
  • misrepresenting your identity or business.

GEVADE reserves the right to suspend or terminate accounts violating this Policy.

13. AI Tools & Automated Actions

GEVADE CRM includes AI models, automation workflows and machine-generated outputs. You acknowledge that:

  • AI outputs may be inaccurate or inappropriate;
  • You are responsible for reviewing AI-generated content before using it;
  • AI tools are not legal, financial or professional advice;
  • You maintain full liability for actions taken using AI outputs.

14. Customer Data & CRM Contacts

You retain ownership of all data you upload to GEVADE CRM including:

  • contacts;
  • lead data;
  • customer records;
  • appointment data;
  • invoices;
  • communications.

GEVADE processes this data solely to deliver the CRM services.

15. Data Protection & Compliance

GEVADE complies with the Privacy Act 1988 (Cth), APPs, and global privacy principles. See our full Privacy Policy at www.gevade.com/privacy.

16. Third-Party Integrations

GEVADE integrates with third-party services for:

  • payment processing;
  • SMS delivery;
  • calendar syncing;
  • AI capabilities;
  • hosting infrastructure;
  • analytics and advertising.

GEVADE is not responsible for outages or failures caused by third-party providers.

17. Intellectual Property Rights

All intellectual property related to GEVADE CRM remains the exclusive property of GEVADE Pty Ltd, including:

  • software code;
  • platform architecture;
  • AI models and configurations;
  • branding, logos and trademarks;
  • documentation and training materials.

18. Prohibited Actions

You must NOT:

  • reverse engineer the platform;
  • copy features or interfaces;
  • launch brute-force or automated attacks;
  • interfere with platform security;
  • use GEVADE CRM to compete with GEVADE CRM;
  • misrepresent your affiliation with GEVADE.

19. Fair Use & Rate Limits

To maintain platform stability, GEVADE CRM may enforce fair use limits on:

  • API calls;
  • workflow triggers;
  • automation frequency;
  • bulk email and SMS sending;
  • form submissions;
  • contact imports.

Excessive use or resource-heavy behaviour may result in temporary throttling or suspension.

20. User Conduct Standards

You agree to conduct yourself in a lawful, ethical, respectful manner when using GEVADE CRM. You may not:

  • harass, abuse or threaten others;
  • use discriminatory or hateful language;
  • damage, disrupt or overload our systems;
  • use the platform to promote illegal services;
  • engage in deceptive or fraudulent practices.

GEVADE reserves the right to determine acceptable use at our sole discretion.

21. Bulk Messaging Rules

Bulk messaging includes email broadcasts, SMS campaigns, ringless voicemail and any mass outreach initiated through GEVADE CRM.

Your responsibilities:

  • obtain proper consent from recipients;
  • include legally required unsubscribe mechanisms;
  • comply with the Spam Act 2003 (Cth) and equivalent global laws;
  • ensure content is not misleading, abusive or harmful;
  • follow carrier and gateway rules to avoid number blocks or deliverability failures.

Violations may result in immediate account suspension.

22. SMS, Email & Calling Compliance

When using GEVADE CRM to send communications, you must comply with:

  • Spam Act 2003 (Cth) — Australia;
  • ACMA regulations;
  • TCPA (USA) where applicable;
  • GDPR ePrivacy rules for EU contacts;
  • carrier-specific rules for SMS messaging.

GEVADE is not liable for messages sent unlawfully by users.

23. Anti-Spam Requirements (Australian Law)

The Australian Spam Act requires that you:

  • have verified consent from recipients;
  • identify yourself clearly in every message;
  • include a functional unsubscribe link or instruction;
  • honour all unsubscribe requests within 5 business days;
  • maintain accurate contact and business details.

Failure to comply may result in regulatory penalties and platform termination.

24. Uploading Content & File Restrictions

You agree not to upload:

  • copyrighted material without permission;
  • illegal content or malware;
  • sexual, violent or hateful content;
  • files that violate another person’s rights;
  • excessively large files that may impair system performance.

GEVADE may remove or block access to prohibited content without prior notice.

25. API Usage & Rate Limitations

GEVADE CRM API access, if available for your plan, is subject to:

  • authentication and security requirements;
  • daily, hourly or per-minute rate limits;
  • permitted uses listed in documentation;
  • strict prohibition of scraping or copying our platform.

Abuse of the API may result in immediate termination.

26. Service Availability & Uptime Disclaimer

GEVADE aims to provide reliable uptime, but no platform can guarantee 100% uninterrupted availability.

Service may be unavailable due to:

  • scheduled maintenance;
  • emergency maintenance;
  • network or data centre outages;
  • third-party provider failures;
  • natural disasters or force majeure.

GEVADE is not liable for losses resulting from downtime.

27. Beta Features & Early Access

GEVADE may offer pre-release or beta features. You acknowledge that:

  • beta features may contain bugs;
  • performance issues may occur;
  • beta features may be modified or removed without notice;
  • data may not always be preserved;
  • use is at your own risk.

GEVADE disclaims liability for beta feature issues.

28. AI Predictions & Liability

GEVADE CRM includes AI-driven insights, recommendations, predictions and automated actions.

You acknowledge that:

  • AI outputs may be inaccurate;
  • AI does not replace human judgment;
  • You must verify AI results before taking action;
  • You remain legally responsible for all messages, automations, decisions or outcomes generated using AI.

29. Appointment Booking & Calendar Sync

GEVADE CRM integrates with Google Calendar and other scheduling tools for appointment booking.

We are not responsible for:

  • missed appointments;
  • double bookings;
  • sync failures;
  • calendar outages;
  • lost revenue due to scheduling errors.

30. Data Hosting Regions

GEVADE CRM may store or process data in:

  • Australia;
  • United States;
  • European Union;
  • United Kingdom;
  • Singapore;
  • Other secure cloud regions.

Hosting providers are selected for compliance, security and reliability.

31. Backups & Disaster Recovery

GEVADE performs periodic backups; however:

  • backups are not guaranteed to be error-free;
  • backup restoration times may vary;
  • data retention periods depend on system architecture.

GEVADE is not responsible for data loss caused by user deletion or negligence.

32. Security Responsibilities

GEVADE provides robust security mechanisms, but you are responsible for:

  • using strong passwords;
  • restricting user access levels;
  • protecting devices that access GEVADE CRM;
  • monitoring your account for suspicious activity;
  • complying with local regulations regarding data security.

33. Account Suspension Rules

GEVADE may suspend or limit your account if:

  • you violate these Terms;
  • you fail to pay fees when due;
  • we detect abusive or harmful activity;
  • your usage exceeds allowable limits;
  • your actions threaten system security.

34. Termination by You

You may terminate your subscription at any time by:

  • cancelling your plan inside GEVADE CRM;
  • contacting GEVADE support.

Cancellations take effect at the end of the current billing cycle. Refunds are not provided for unused time.

35. Termination by GEVADE

GEVADE may suspend or terminate your account immediately if you:

  • breach these Terms;
  • engage in unlawful activity;
  • fail to pay fees;
  • upload harmful or prohibited content;
  • compromise platform security;
  • use GEVADE CRM to compete with GEVADE CRM.

Upon termination, your access ceases immediately.

36. Effects of Termination

Upon termination:

  • you lose access to all CRM data;
  • automations and workflows cease immediately;
  • communications stop sending;
  • contacts and pipelines become unavailable;
  • backups may be purged after retention periods;
  • financial records remain for legal compliance.

GEVADE is not responsible for data loss caused by termination.

37. Post-Termination Obligations

Upon termination, you remain responsible for:

  • all outstanding fees and charges owed to GEVADE;
  • removing GEVADE integrations from your systems;
  • downloading your data before access expires;
  • ensuring compliance with legal retention obligations;
  • destroying confidential information belonging to GEVADE.

GEVADE is not obligated to maintain or provide access to your data after the retention period ends.

38. Data Ownership Clarification

GEVADE acknowledges that:

  • you retain ownership of all customer data you upload;
  • we do not sell, license or transfer your customer records;
  • you are the controller of your customer data;
  • GEVADE acts as a processor in most scenarios;
  • you are solely responsible for compliance with your region’s privacy laws.

39. Data Deletion Requests

You may request deletion of:

  • your account;
  • your contact records;
  • specific customer data (where legally permitted).

GEVADE may retain limited information for:

  • legal compliance;
  • fraud prevention;
  • financial reporting;
  • backup and disaster recovery.

40. Confidentiality

Both parties agree to maintain confidentiality of:

  • trade secrets;
  • non-public business data;
  • pricing, integrations and internal documentation;
  • customer strategies, funnels and pipelines;
  • technical security information.

Confidentiality obligations survive termination of your subscription.

41. Warranties (User Responsibilities)

You warrant that:

  • you have the legal right to enter this Agreement;
  • you will use GEVADE CRM only for lawful purposes;
  • you have obtained proper consent from all customers you upload;
  • you will comply with all laws in your region (Spam Act, GDPR, CCPA, etc.);
  • your uploaded content does not violate third-party rights.

42. Disclaimer of Warranties

GEVADE CRM is provided “as is” and “as available” without warranties of any kind. GEVADE does not guarantee:

  • uninterrupted service;
  • error-free or bug-free performance;
  • accuracy of AI-generated content or predictions;
  • that emails/SMS will always be delivered successfully;
  • that the platform will meet your exact expectations.

You use the platform at your own risk.

43. Limitation of Liability

To the fullest extent permitted under South Australian and Australian law:

  • GEVADE is not liable for indirect, incidental, special, exemplary or consequential damages, including (but not limited to): loss of revenue, loss of profits, loss of goodwill, loss of opportunities, loss of data, business disruption or reputational harm.
  • GEVADE’s total liability for any claim will not exceed the total amount paid by you to GEVADE in the preceding 12 months.
  • GEVADE is not liable for:
    • email/SMS deliverability issues;
    • booking calendar errors;
    • AI inaccuracies;
    • user error in building workflows;
    • third-party integration failures.

44. Indemnification

You agree to indemnify and hold harmless GEVADE, its directors, officers, employees, contractors and affiliates from any claim arising from:

  • your misuse of the platform;
  • your violation of laws or third-party rights;
  • your uploaded content or customer data;
  • your marketing campaigns and communications;
  • your negligence or misconduct.

This clause survives termination.

45. Force Majeure

GEVADE is not responsible for failure to perform obligations due to events outside our control, including:

  • natural disasters;
  • cyberattacks;
  • pandemics;
  • government restrictions;
  • power outages;
  • internet failures.

Performance is suspended for the duration of the event.

46. Governing Law

These Terms are governed by the laws of:

  • South Australia;
  • The Commonwealth of Australia.

You submit to the exclusive jurisdiction of the courts in South Australia.

47. Dispute Resolution

Before taking legal action, both parties agree to attempt good-faith resolution through:

  • initial negotiation;
  • written notice of dispute;
  • 14-day response period;
  • optional mediation in Adelaide.

48. Severability

If any clause of these Terms is found unlawful or unenforceable, the remainder remains in full effect.

49. No Waiver

Failure by GEVADE to enforce a right does not constitute a waiver of future enforcement.

50. Assignment

You may not transfer these Terms without written permission from GEVADE.

GEVADE may transfer or assign rights to:

  • subsidiaries;
  • acquirers;
  • trusted third-party providers.

51. Subcontractors

GEVADE may engage subcontractors to help deliver the platform, such as:

  • hosting providers;
  • email/SMS gateways;
  • support providers;
  • AI infrastructure vendors.

52. Publicity Rights

By using GEVADE CRM, you grant GEVADE permission to:

  • list your business as a client;
  • display your logo on marketing pages;
  • create case studies (with your approval).

You may revoke logo use by contacting GEVADE support.

53. Entire Agreement

These Terms constitute the entire agreement between you and GEVADE, superseding all prior discussions or agreements.

54. Interpretation Rules

Headings are for convenience only and do not limit the meaning of clauses.

55. Survival of Provisions

Sections that naturally survive termination remain in effect, including:

  • confidentiality;
  • payments owed;
  • liability limitations;
  • indemnity obligations;
  • data retention clauses.

59. Acceptance of These Terms

By creating an account, using the platform or continuing to access GEVADE CRM, you acknowledge that you have read, understood and agreed to these Terms.

60. Final Agreement Clause

These Terms govern all interactions between you and GEVADE Pty Ltd unless superseded by a written agreement signed by an authorised GEVADE officer.
