GEVADE CRM — Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) governs your participation in the GEVADE CRM Affiliate Program (“Program”). By applying for, joining, or participating in the Program, you (“Affiliate”, “you”, “your”) agree to be bound by this Agreement.

If you do not agree with any part of this Agreement, do not participate in the Program. GEVADE PTY LTD (“GEVADE”, “we”, “us”, “our”) operates and manages the Program.

1. Definitions

• “GEVADE” / “Company” / “we” / “us” / “our” means GEVADE PTY LTD, ABN 87 638 447 097, and its related entities.
• “Affiliate” / “you” / “your” means the individual or entity applying to or participating in the Program.
• “Program” means the GEVADE CRM Affiliate Program.
• “Referred Customer” means a new paying customer who signs up to GEVADE CRM via your unique affiliate link and is not already an existing customer, lead, or trial user in our systems.
• “Qualified Plan Purchase” means a successful, non-fraudulent, paid subscription to an eligible GEVADE CRM plan (Starter, Growth, or Empire) by a Referred Customer.
• “Commissions” means the amounts payable to you under this Agreement based on Qualified Plan Purchases.

2. Eligibility & Approval

2.1 Application Required. Anyone may apply to the Program, but only approved partners may participate and earn commissions. Submitting an application does not guarantee acceptance.

2.2 Approval at Our Discretion. We may accept or reject any application at our sole discretion, with or without providing a reason. We may consider factors such as audience fit, brand alignment, geography, prior conduct, and compliance history.

2.3 Ongoing Eligibility. We may review your participation in the Program at any time and may suspend or terminate your affiliate status if we believe you are misusing the Program, misrepresenting GEVADE, violating this Agreement, or otherwise harming our brand or reputation.

3. Commission Structure

3.1 Commission Rate. For each Qualified Plan Purchase, you will earn:

30% recurring, lifetime commission on eligible GEVADE CRM subscription fees paid by Referred Customers, for as long as they remain active, paying subscribers and the Program and this Agreement remain in effect.

3.2 Eligible Plans. Commissions are paid only on the following GEVADE CRM subscription plans:

• Starter Plan
• Growth Plan
• Empire Plan

3.3 No Commissions on Add-Ons. You do not earn commissions on add-ons, including but not limited to:

• AI Employee or AI-related usage
• Integrations Engine or similar integrations
• WhatsApp or communication add-ons
• Usage-based rebilling or message fees
• Other future add-ons, tools, or services not explicitly listed as commission-eligible

3.4 Self-Referrals Prohibited. You may not earn commissions on your own GEVADE accounts, your own company accounts, internal test accounts, or accounts created primarily to generate commissions. We reserve the right to determine what constitutes a self-referral or ineligible referral.

4. Commission Examples (Plan Tiers)

The following examples are illustrative only and assume standard plan pricing without discounts or promotions:

• Starter Plan — $97/month
  30% of $97 = $29.10/month in recurring commission, for the lifetime of the subscription.
• Growth Plan — $197/month
  30% of $197 = $59.10/month in recurring commission, for the lifetime of the subscription.
• Empire Plan — $297/month
  30% of $297 = $89.10/month in recurring commission, for the lifetime of the subscription.

Actual amounts may vary based on currency conversions, promotions, discounts, or pricing changes made at our sole discretion.

5. Tracking, Cookies & Attribution

5.1 Tracking Method. Referrals are tracked via unique affiliate links provided by us. You are responsible for using the correct links and ensuring they are implemented properly in your content, ads, and promotions.

5.2 Cookie Duration. Our standard cookie window for the Program is 90 days. If a user clicks your affiliate link and becomes a paying GEVADE CRM customer within 90 days, the referral is generally attributed to you (subject to last-click rules).

5.3 Last-Click Attribution. When multiple affiliates refer the same customer, the most recent valid affiliate link clicked before purchase typically receives the commission.

5.4 Tracking Limitations. While we strive for accurate tracking, we are not responsible for tracking failures due to ad blockers, browser restrictions, privacy features, cookie deletion, incorrect link use, or similar technical limitations. Only tracked and verifiable referrals are eligible for commissions.

6. Payouts

6.1 Payout Frequency. Commissions are calculated on a monthly basis and are generally paid once per month, approximately 30 days after the end of the month in which the commissions were earned.

6.2 Minimum Payout Threshold. Your commission balance must reach at least $100 USD before a payout is issued. Amounts below this threshold will roll over to the next period until the minimum is met.

6.3 Payment Methods. Payouts are currently made via:

• PayPal
• Wise

You must provide accurate payout details in the method and format requested. We may withhold or delay payouts if your details are incomplete, invalid, or require verification.

6.4 Currency & Fees. Payouts are made in USD. Any transaction, conversion, or processing fees charged by PayPal, Wise, your bank, or other intermediaries are your responsibility.

6.5 Taxes. You are solely responsible for reporting and paying any taxes associated with your affiliate income, in accordance with your local laws. We may request tax information where required by law.

7. Refunds, Chargebacks & Adjustments

7.1 No Refunds Policy. GEVADE CRM subscriptions are generally non-refundable once purchased, except in limited cases such as billing errors or technical issues preventing service access, as determined at our sole discretion.

7.2 Chargebacks & Disputes. If a customer payment is reversed due to a chargeback, fraud, dispute, or non-payment, we may reverse or deduct the associated commission from your current or future payouts.

8. Promotion Rules

8.1 Allowed Promotion Channels. You may promote GEVADE CRM using, for example:

• Your websites and landing pages
• Blogs, articles, and reviews
• Social media posts and content
• YouTube and other video platforms
• Webinars, live events, and workshops
• Email marketing to permission-based lists
• Communities, groups, and memberships (where allowed)
• Paid advertising, subject to the restrictions below

8.2 Global Promotion with Restrictions. You may promote GEVADE CRM globally, subject to local law, except in or in connection with the following restricted niches:

• Gambling, casinos, or betting schemes
• Adult, pornographic, or explicit content
• High-risk or speculative financial schemes, including certain crypto promotions
• Hate speech, extremist content, or illegal activities
• Malware, spyware, or deceptive software

We may update or expand restricted categories at any time to protect our brand and customers.

8.3 Prohibited Conduct. You must not:

• Impersonate GEVADE, GEVADE CRM, or our staff
• Misrepresent features, pricing, or results customers can expect
• Make false income promises or “get rich quick” claims
• Use spam, unsolicited bulk emails, or deceptive outreach
• Use domains or profiles that create confusion with our official brand
• Run misleading ads or violate advertising policies of major platforms

Violating these rules may result in immediate suspension or termination from the Program and potential forfeiture of unpaid commissions.

9. Branding & Intellectual Property

9.1 Permitted Use. While you are an active Affiliate, you may use our approved logos, brand assets, and marketing materials solely for the purpose of promoting GEVADE CRM under this Program.

9.2 Prohibited Use. You may not:

• Modify, distort, or create derivative versions of our logos or branding
• Use “GEVADE”, “GEVADE CRM”, or similar in domain names without written permission
• Present yourself as an employee, partner, or official representative of GEVADE
• Use our intellectual property for any purpose outside this Program

All intellectual property rights in and to GEVADE CRM and related materials remain the exclusive property of GEVADE PTY LTD.

10. Relationship of Parties

You participate in the Program as an independent contractor. Nothing in this Agreement shall be construed as creating an employer–employee relationship, partnership, joint venture, or agency relationship between you and GEVADE PTY LTD. You have no authority to make representations or enter into agreements on our behalf.

11. Term & Termination

11.1 Term. This Agreement becomes effective when your affiliate application is approved and continues until terminated by either party.

11.2 Termination by You. You may terminate your participation at any time by notifying us through the support contact methods we provide or by closing your affiliate account, where such functionality exists.

11.3 Termination by GEVADE. We may suspend or terminate your participation in the Program at any time, with or without notice, including (but not limited to) situations where:

• You violate this Agreement or any of our policies
• You engage in fraud, abuse, or suspected fraudulent activity
• You damage or risk damaging the GEVADE brand or reputation
• You are inactive for an extended period
• We decide to discontinue or change the Program

11.4 Effect of Termination. Upon termination, you will no longer earn new commissions. We may, at our discretion, stop future recurring commissions. You must immediately stop using our affiliate links, marketing materials, and brand assets for promotional purposes. Unpaid commissions may be withheld if we determine that you have breached this Agreement or engaged in fraudulent or abusive conduct.

12. Program Changes

We may modify or update the Program and this Agreement at any time, including changes to commission rates, cookie duration, eligible plans, payout schedules, and participation rules. We will make reasonable efforts to notify affiliates of major changes via email, portal notifications, or website updates. Your continued participation in the Program after changes are posted constitutes acceptance of the updated terms.

13. Limitation of Liability

To the maximum extent permitted by law, GEVADE PTY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, profits, or data arising out of or in connection with this Agreement or your participation in the Program. In all cases, our total liability in respect of any claim arising under or in connection with this Agreement shall not exceed the total commissions actually paid to you under the Program in the six (6) months preceding the event giving rise to the claim.

14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of South Australia, Australia. Any disputes or claims arising out of or in connection with this Agreement or the Program shall be subject to the exclusive jurisdiction of the courts and tribunals of South Australia, except where otherwise required by applicable law. Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute informally.

15. Acceptance of Agreement

By submitting an affiliate application, clicking any “I agree” or similar button related to the Program, or by using your affiliate link to promote GEVADE CRM, you acknowledge that you have read, understood, and agree to be bound by this Affiliate Program Agreement.
